1. Parties
These Terms of Use ('Agreement') are entered into between Herparçadan ('Platform') and any individual or legal entity registering with or using the Platform ('User').
2. Definitions
- Platform: the B2B trading infrastructure at herparcadan.com and b2b.herparcadan.com.
- Seller: a supplier/manufacturer/wholesaler offering products.
- Buyer: a retailer/dealer purchasing products.
3. Membership
- Users must be at least 18 and provide a valid tax ID.
- The User is responsible for the accuracy of submitted info.
- The Platform may close fake or inaccurate accounts without notice.
4. Services
The Platform provides product listing, ordering, payment intermediation, ERP integration and reporting. The Platform is not the seller; the sale contract is between Seller and Buyer.
5. Fees and Commission
Membership is currently free. Sales commission and add-on fees are announced in the panel. Fee changes are notified 30 days in advance.
6. Prohibited Conduct
- False/misleading product listings
- Uploading content that infringes copyright or trademarks
- Technical attempts that harm the Platform (scraping, DDoS, exploit)
- Harassing or defrauding other users
7. Intellectual Property
Platform software, design, logos and content belong to Herparçadan and may not be used without permission. Users warrant that they own the rights to product images they upload.
8. Limitation of Liability
The Platform is not liable for indirect damages arising from service interruption, data loss or third-party actions.
9. Termination
Users may cancel membership at any time. The Platform may close accounts that breach this Agreement without notice.
10. Disputes and Jurisdiction
Istanbul Courts and Enforcement Offices have jurisdiction over disputes arising from this Agreement. Turkish law applies.
